Some excerpts from the interview that was centred around Corporate Governance for SMEs.....

 

What are some of the common mistakes that SMEs make which make them vulnerable?

SMEs generally speaking, look at "corporate governance" as merely a fancy term, good for discussions at conferences and seminars, but with no real relevance to their business operations. They see it as being relevant only to publicly-listed and government entities, where, those who manage the business are accountable to those who own/have invested money in the business....

How can SMEs improve their corporate governance and risk resilience today? How can they ensure that their business is run on sound principles from day one? Any tips/advice?

I strongly suggest that SMEs should firmly embed Corporate Governance principles based on frameworks such as COSO, from day one. The COSO framework, especially the updated version that came out in 2017 (2017 Enterprise Risk Management – Integrated Framework), provides a very practical list of corporate governance areas to be established and improved over the course of an entity's journey. The earlier update in 2013, was limited to Internal Controls, which covers only a part of overall Corporate Governance. Use the 2017 update as noted above, and get an independent consultant to help you implement the framework in your organisation.
